This is an agreement between you and "Humane Vibe LLC" (with its affiliates, “SafeRoads” or “we” or “us”). Please read these SafeRoads Services Terms of Use, the SafeRoads Privacy Notice , the SafeRoads Conditions of Use , and the other applicable rules, policies, and terms (collectively, this “Agreement”) available at the Saferoadsproject.com website, or on our apps or through the SafeRoads Software (collectively, the “platform”) before using the SafeRoads Services.
By accessing, browsing or using the SafeRoads Services, whether you register on the platform or not, you agree to be bound by the terms of this Agreement and all terms and conditions set forth, including any subsequent changes to the foregoing. If you do not accept the terms of this Agreement, then please do not access this platform and immediately stop using the SafeRoads Services.
In this agreement, the words "including" and "include" mean "including, but not limited to."
Definitions:
SafeRoads Platform means and incudes the saferoadsproject.com website, its associated mobile apps and services made available through the website, the mobile apps or software products that are powered by the SafeRoads technology
1. Using our Services
a. You must follow any policies made available to you within our Services.
b. Do not misuse our Services, for example, do not interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
c. Using our Services does not give you ownership of any intellectual property rights in our Services or the content that you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Do not remove, obscure or alter any legal notices displayed in or along with our Services
d. In connection with your use of the Services, we may send you service announcements, administrative messages and other information. You may opt out of some of those communications.
e. Some of our Services may be accessed on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws. We recommend that you ensure your personal safety first before attempting to use our services.
2. Your SafeRoads Account
You DO NOT need to create a SafeRoads Account in order to use our Services. But, to use some of our features you may need to create a SafeRoads Account. To protect your SafeRoads Account, keep your password confidential. You are responsible for your activity on our platform including activity that happens on or through your SafeRoads Account. Try not to reuse your SafeRoads Account password on third-party applications. If you learn of any unauthorised use of your password or SafeRoads Account, please notify us immediately by email or phone number published on the contact us section of our website We may suspend your account at any time that your account is suspected to be misused, found to be used for any unauthorized purpose or suspected to be in violation of SafeRoads terms and conditions
3. Connectivity & Availability
a. Internet connectivity - SafeRoads Services may require an Internet connection from a third-party provider in order to use some features. In such cases, your Internet connection is subject to the fees, restrictions, terms and limitations imposed by your provider.
b. Availability. Some SafeRoads Services may be unavailable, vary (by product or geography, for example), be offered for a limited time, or require separate subscriptions.
4. General
a. Information received: The SafeRoads Software may provide us with information about your Product, use of the Product, and use of Digital Content, other content, and the Services. Information provided to SafeRoads may be processed in the cloud to improve your experience and our services, and may be stored on servers outside the country in which you live. We will handle any information we receive in accordance with the SafeRoads Privacy Notice.
b. Information Provided To Others. You are responsible for any information you provide to others, including third-party Digital Content providers. Use of information you provide to these third parties will be subject to any privacy notice or other terms that they may provide to you
c. SafeRoadsProject.com does not ascertain the validity of user-submitted content or posts on our platform. Any user may flag a review for moderation by the Safe Roads Project team by clicking the “flag” icon next to the review or sending an email to [email protected]. You will be asked to provide an explanation to SafeRoads as to why the review should be removed (this explanation is not publicly displayed). Flagged reviews are reviewed by SafeRoads and taken down at the discretion of SafeRoads only if deemed inappropriate, contain details that are not relevant or somehow in violation of the policies and guidelines governing use of our Services.
d. Changes to our Services; Amendments. We may change, suspend, or discontinue the Services, or any part of them, at any time without notice. We may amend any of this Agreement's terms at our sole discretion by posting the revised terms on the SafeRoads website. Your continued use of our Services after the effective date of the revised Agreement constitutes your acceptance of the terms. We are constantly changing and improving our Services. You can stop using our Services at any time, although we would be sorry to see you go. We may also stop providing Services to you or add or create new limits to our Services at any time. We believe that you own your data, and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to remove information from that Service.
e. Termination. Your rights under this Agreement will automatically terminate without notice if you fail to comply with any of its terms. In case of such termination, Amazon may immediately revoke your access to the SafeRoads Services. SafeRoads's failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of its rights. f. Disputes/Binding Arbitration. Any dispute or claim arising from or relating to this Agreement, our Software, or our Services is subject to the binding arbitration, governing law, disclaimer of warranties, limitation of liability, and all other terms in the SafeRoads Conditions of Use. You agree to those terms by entering into this Agreement, or the SafeRoads Services.
g. Disclaimer of Warranties and Limitation of Liability. We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we do not promise about our Services.
i) OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER SAFEROADS NOR ITS SUPPLIERS OR DISTRIBUTORS OR AFFILIATES MAKES ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DO NOT MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES OR THEIR RELIABILITY, AVAILABILITY OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES “AS IS”.
ii) SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.
iii) WE ARE NOT LIABLE FOR ANY DAMAGE CAUSED, WHETHER INCIDENTAL, CONSEQUENTIAL, SPECIAL OR DIRECT OR ANY PUNITIVE CHARGES (INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA) WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), EQUITY OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THIS SITE OR THE MATERIALS THEREIN OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF DATA. THE PARTIES ACKNOWLEDGE THAT THIS IS A REASONABLE ALLOCATION OF RISK. YOU AGREE THAT OUR AGGREGATE LIABILITY IN ANY EVENT WITH RESPECT TO ANY CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICES DOES NOT EXCEED TWENTY FIVE US DOLLARS ($25.00)

5. Privacy
Please review our Privacy policy, which explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that SafeRoads can use such data in accordance with our Privacy Policies. The personal information / data provided to us by you during the course of usage of our Services will be treated as strictly confidential and in accordance with the Privacy Notice and applicable laws and regulations. If you object to your information being transferred or used, please do not use the platform.
Content displayed on our platform is copyrighted by us. We respect all copyrights and trademarks owned by third-parties. Any third-party content or logos displayed on this Platform are owned by the respective third-party. We expect you to respect all copyrights. You may not copy or reproduce any content offered on our Services without express consent of SafeRoads
6. Access to the platform
We will do our utmost to ensure that availability of the platform will be uninterrupted and that transmissions will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Also, your access to the platform may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.
7. Requirements and conduct
a. The Service is not available for use directly by persons under the age of 18. You may not authorize third parties to use your Account.
b. Use of our Service is available only to persons who can form a legally binding contract. If you are a minor i.e. under the age of 18 years or the specific age that is applicable in the country where you are accessing our service, you may use our Service only with the involvement of a parent or legal guardian. g. You must not use the platform for any of the following:
i) for fraudulent purposes, or in connection with a criminal offense or other unlawful activity
ii) to send, use or reuse any material that does not belong to you; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any "spam

8. License for platform access
a. Subject to your compliance with these Conditions of Use and payment of applicable fees, if any, SafeRoads grants you a limited license to access and make personal use of this platform, but not to download (other than page caching) or modify it, or any portion of it. This license does not include any resale or commercial use of this platform, its services or its contents; any collection and use of any listings, reports, descriptions; any derivative use of this platform including the website or its contents; any downloading or copying of account information; or any use of data mining, robots, or similar data gathering and extraction tools.
b. This website or any portion of this platform (including but not limited to any copyrighted material, trademarks, or other proprietary information) may not be reproduced, duplicated, copied, sold, resold, visited, distributed or otherwise exploited for any commercial purpose without express written consent of SafeRoads and / or its affiliates, as may be applicable.
c. You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of SafeRoads and its affiliates without express written consent. You may not use any meta tags or any other "hidden text" utilising SafeRoads's or its affiliates' names or trademarks without the express written consent of SafeRoads and / or its affiliates, as applicable. Any unauthorised use terminates the permission or license granted by SafeRoads and / or its affiliates, as applicable.
d. You may not use any SafeRoads logo or other proprietary graphic or trademark without express written consent of SafeRoads and / or its affiliates, as may be applicable.
9. Reviews, comments, communications and other content
a. Users of this platform may post their opinion, reviews, comments and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." In the event a user uses a false e-mail address, impersonates any person or entity, or otherwise misleads as to the origin of any content. We reserve the right (but not the obligation) to remove, refuse, delete or edit any content that in the sole judgement of SafeRoadsProject.com violates these terms of use and, or terminate your permission to access or use this platform.
b. If you do post content or submit material, and unless we indicate otherwise, you
1. grant Safe Roads Project LLC and its affiliates a non-exclusive, royalty-free, irrevocable, perpetual and fully sublicensable rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media; and
ii) Safe Roads Project LLC and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose.
c. You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Safe Roads Project LLC, including the execution of deeds and documents, at its request.
d. You represent and warrant that you own or otherwise control all of the rights to the content that you post or that you otherwise provide on or through the platrom; that, as at the date that the content or material is submitted to SafeRoads: (i) the content and material is accurate; (ii) use of the content and material you supply does not breach any applicable SafeRoads policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory); (iii) the content is lawful. You agree to indemnify Safe Roads Project LLC and its affiliates for all claims brought by a third party against it or its affiliates arising out of or in connection with a breach of any of these warranties.
10. Third Party Content
a. Content from other users, advertisers, and other third parties is made available to you through SafeRoads. "Content" means any work of authorship or information, including images, comments, opinions, postings, messages, text, files, images, photos, works of authorship, data or other materials you find on SafeRoads. Because we do not control such Content, you understand and agree that: (1) we are not responsible for, and do not endorse, any such Content, including information about third-parties and - related information provided by other users; (2) we make no guarantees about the accuracy, currency, suitability, reliability or quality of the information in such Content; and (3) we assume no responsibility for unintended, objectionable, inaccurate, misleading, or unlawful Content made available by users and third parties.
b. In accordance with Section 230 of the U.S. Communications Decency Act, and any equivalent or similar laws in other jurisdictions which are intended to exclude or limit the liability of online service providers who provide access to user-generated content, we generally cannot be held liable for claims arising from the Content provided by third parties on SafeRoads.

SafeRoadsProject.com, SafeRoads, THE SAFEROADS LOGO and other marks indicated on our platform are trademarks or registered trademarks of SafeRoads Project, LLC. or its subsidiaries (collectively "SafeRoads") in their respective jurisdictions. SafeRoadsProject.com’s graphics, logos, page headers, button icons, scripts and service names are the trademarks or trade dress of SafeRoads. SafeRoads’s trademarks and trade dress may not be used in connection with any product or service that is not SafeRoads's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits SafeRoads. All other trademarks not owned by SafeRoads that appear on this website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by SafeRoads.

a. When you visit SafeRoadsProject.com, you are communicating with us electronically. You will be required to provide a valid phone number and/or email address while using our services. For contractual purposes, you consent to receive communications (including transactional, promotional and/or commercial messages), from us with respect to your use of our Services.
14. Events beyond our reasonable control
a. We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.

All claims arising out of or relating to these terms or the Services will be referred to an arbritrator appointed by SafeRoads, failing him to any other arbitrator chosen by SafeRoads and you in writing. The decision of such an arbitrator shall be binding on both parties.
